Sanusian

Terms and Conditions.

These Terms govern your access to and use of the Sanusian service. They describe what the platform provides, what it does not, how subscriptions and billing work, and the rights and obligations that apply to you.

1. General provisions and company details

These Terms and Conditions ("Terms") govern your access to and use of the website, web applications, mobile applications, and software-as-a-service (SaaS) platform operated by Sanusian GmbH (accessible via sanusian.com) (collectively, the "Service" or "Platform").

Service provider and legal entity: Sanusian GmbH, Windmühlgasse 22, 1060 Vienna, Austria. Commercial register number (Firmenbuchnummer): FN 1847362. Commercial register court (Firmenbuchgericht): Handelsgericht Wien. VAT status: VAT exempt under the small business regulations (Kleinunternehmerregelung gem. § 6 Abs. 1 Z 27 UStG). Managing directors and authorised representatives: Drazen Pejnovic; Marcus Berger, Chief Executive Officer (CEO). Contact and legal inquiries: info@sanusian.com.

By registering an account, accessing, or using the Service, you ("User", "You", or "Pet Owner") agree to be bound by these Terms. If you are entering into these Terms on behalf of a veterinary practice, clinic, or business entity ("Partner Clinic"), you represent that you have the legal authority to bind that entity.

2. Description of the service

Sanusian develops animal-health risk intelligence infrastructure around the Sanusian Risk Engine. The consumer reference application includes:

Daily health and symptom logging: tools allowing pet parents to record daily observations, behaviors, postures, and symptoms.

Health and risk intelligence: automated, algorithm- and classifier-assisted risk assessment scoring ("S-Risk Score™") based on structured user inputs.

Risk Passport™: structured context accompanying the S-Risk Score™, including relevant observations, history and meaningful changes for professional preparation.

Clinic routing and partner directory: features connecting users to third-party independent veterinary clinics, emergency hospitals, and pet wellness providers.

The services, risk scoring algorithms, and content provided by Sanusian are strictly intended for general wellness tracking and informational purposes. Any score, recommendation, or lack of alert does not replace the judgment of a licensed veterinarian.

3. Risk API and planned SDKs

Enterprise integration: the Risk API enables businesses to bring the Sanusian Risk Engine into their own products and workflows. SDKs are under development to simplify integration; when released, their use will be governed by these Terms and the applicable partner agreement.

API response scope: supported outputs may include the S-Risk Score™, contributing changes, trajectory, confidence, Risk Passport™ context and Resolution Intelligence guidance. Supported fields are defined for each integration. Guidance indicates a relevant next-step category; it does not select a specific provider or treatment.

Partner responsibility: the partner owns the relationship with its own users and customers. The partner decides how the Score and Resolution Intelligence guidance are presented, mapped and acted on within its own network, product or workflow, and remains responsible for its own regulatory, clinical and consumer obligations.

Data roles: for data submitted through the API or the future SDK, the partner acts as the data controller and Sanusian GmbH acts as a data processor under a data processing agreement (Art. 28 GDPR). Partners must transmit only the data required for the scoring call and must not send special categories of personal data beyond what the integration documentation specifies.

Acceptable API use: partners may not resell, sublicense or white-label API access without prior written consent; may not use the API to build a competing risk-scoring service; and may not misrepresent scores or routing categories as veterinary diagnoses. Rate limits, authentication and technical requirements are defined in the integration documentation and the partner agreement.

4. Disclaimer: no veterinary advice and emergency limitation

Important notice: Sanusian is not a licensed veterinary clinic, telehealth practice, or emergency medical dispatch service. The Platform does not provide veterinary medical diagnosis, treatment, prescriptions, or clinical medical opinions. It is incapable of detecting sudden-onset, acute, or emergency life-threatening conditions.

Informational and educational use only: all content, risk scores, breed-specific indicators, wellness plans, and summaries generated by the Service are provided purely for informational, organizational, and pre-triage guidance. They are designed to assist pet owners in deciding when to seek professional care and to facilitate structured communication with licensed veterinarians.

Not a substitute for professional care: the Service must never be used to replace direct, in-person veterinary examinations, diagnosis, or professional clinical judgment. Always consult a licensed veterinary professional for any health concerns regarding your animal.

Medical emergencies: if your pet is experiencing an acute emergency (for example severe trauma, poisoning, collapse, difficulty breathing, seizures, or unresponsiveness), do not rely on the Platform or wait for algorithmic results. Immediately transport your pet to the nearest emergency veterinary hospital or contact an emergency veterinarian.

Software availability and technical errors: the services, applications, algorithms, and content provided by Sanusian are made available on an "as is" and "as available" basis. While we strive to maintain a reliable and secure platform, you acknowledge that software is inherently subject to technical limitations, and we do not guarantee that the service will be uninterrupted, error-free, timely, secure, or completely free of bugs, glitches, defects, or system crashes.

Clinic transmissions and third-party routing: any feature enabling the sharing or transmission of pet health records, symptom logs, or risk assessments to third-party veterinary clinics is provided on a best-efforts basis. Sanusian does not guarantee that transmitted data will be delivered, received, or reviewed by any veterinary clinic in a timely manner or at all. You remain solely responsible for directly and verbally informing treating veterinary professionals of your pet's complete symptoms and medical history.

5. Eligibility and user accounts

Age requirement: you must be at least 18 years of age (or the age of legal majority in your country of residence) to register an account and purchase subscriptions.

Account integrity: you agree to provide accurate, current, and complete information during registration and keep your account details up to date.

Account security: you are responsible for safeguarding your login credentials and for all activities that occur under your account. You must notify Sanusian immediately of any unauthorized access or security breach at info@sanusian.com.

Media uploads and privacy representation: when uploading photos, video footage, or camera streams (including enclosure or home monitoring feeds) for algorithmic analysis, you represent and warrant that you own or have obtained all necessary rights, licenses, and permissions from any individuals whose likeness, voice, or private property may be captured in such media. You agree to defend and hold Sanusian harmless from any third-party privacy, copyright, or data protection claims arising from your media uploads.

6. Tiers, subscriptions, billing, and payments

Free tier: Sanusian offers a free tier subject to daily usage limitations (for example limits on the number of daily logs, scans, or risk assessments). Sanusian reserves the right to adjust these limitations.

Paid subscription plans: Sanusian offers premium paid subscription tiers on a monthly and annual billing cycle.

Pricing and taxes: pricing is displayed in EUR (€) on the platform. Due to Sanusian GmbH's small business tax-exempt status (Kleinunternehmerregelung), Value Added Tax (VAT) is not charged or displayed separately on invoices pursuant to § 6 Abs. 1 Z 27 Austrian UStG.

Payment processing: payments are processed securely via Stripe. Sanusian does not store full credit or debit card numbers or sensitive payment authentication data on its servers.

Automatic renewal and cancellation: paid subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless canceled. You can cancel your subscription at any time via your account settings up to 24 hours before the next scheduled renewal date. If you cancel within the required timeframe, your access will remain active until the end of your current paid billing period, after which it will revert to the free tier.

7. EU consumer right of withdrawal (Widerrufsrecht)

If you are a consumer residing within the European Union (EU) or European Economic Area (EEA), you have a statutory right of withdrawal in accordance with the Austrian Consumer Rights Act (Fern- und Auswärtsgeschäfte-Gesetz, FAGG) and Directive 2011/83/EU.

Early expiry of the right of withdrawal for digital content: pursuant to § 18 Abs. 1 Z 11 FAGG and Article 16(m) of Directive 2011/83/EU, when purchasing digital content or immediate access to SaaS functionality not supplied on a tangible medium, your right of withdrawal expires prematurely if you have expressly consented that Sanusian shall begin the performance of the contract before the end of the 14-day withdrawal period, and you have acknowledged that you thereby lose your right of withdrawal once performance has begun.

8. Acceptable use and user obligations

When using Sanusian, you agree not to input knowingly false, manipulated, or fraudulent health records or symptoms; use the Service for any unlawful purpose, or in violation of applicable animal welfare legislation; reverse engineer, decompile, crawl, scrape, or extract source code, data, or proprietary algorithms from the Platform; interfere with or disrupt the integrity, security, or performance of the Platform; or resell, sublicense, or white-label the Service to third parties without prior written consent from Sanusian GmbH.

User content and anonymized data: you retain ownership of the photos, notes, and log inputs you submit. You grant Sanusian GmbH a non-exclusive, worldwide, royalty-free license to host, store, and process this data to provide and maintain the Service. Sanusian may aggregate and anonymize health logs for clinical research, algorithm optimization, and statistical purposes in strict compliance with the General Data Protection Regulation (GDPR).

10. Third-party clinics and partner services

Independent third parties: partner clinics, emergency centers, and veterinarians listed on or routed through the Platform are independent third parties. Sanusian GmbH does not employ these professionals.

No clinical liability: Sanusian GmbH does not endorse, guarantee, or assume liability for the clinical advice, diagnosis, treatment, billing, or conduct provided by any third-party veterinary clinic or partner. Any veterinary treatment contract is concluded exclusively between you and the respective clinic.

11. Privacy and data protection (GDPR)

Sanusian GmbH processes personal data strictly in compliance with the General Data Protection Regulation (Regulation (EU) 2016/679) and the Austrian Data Protection Act (Datenschutzgesetz, DSG). 12. Warranty and statutory rights

Statutory warranty: if you are a consumer in the EU, you benefit from statutory warranty rights under applicable EU and Austrian consumer sales laws for digital content and digital services (Directive (EU) 2019/770 and the Austrian Consumer Warranty Act, Verbrauchergewährleistungsgesetz, VGG).

Service availability: while we aim for high uptime, the Service is provided on an "as is" and "as available" basis. Temporary downtime may occur due to scheduled maintenance, system updates, or force majeure events.

13. Limitation of liability

Mandatory statutory liability: nothing in these Terms shall limit or exclude Sanusian GmbH's liability for intentional misconduct (Vorsatz) or gross negligence (grobe Fahrlässigkeit); personal injury, death, or damage to health resulting from negligence; claims under mandatory statutory product liability laws (Produkthaftungsgesetz); or any other liability that cannot be excluded or limited under applicable Austrian and EU consumer law.

Slight negligence (leichte Fahrlässigkeit): in cases of slight negligence, Sanusian GmbH shall only be liable for breaches of material contractual obligations (Kardinalpflichten), limited to foreseeable damages typical for the contract.

Veterinary decisions: Sanusian GmbH is not liable for any health deterioration, injury, or loss of an animal resulting from a user's failure to seek timely, licensed veterinary medical attention.

Exclusion of liability for software bugs: to the fullest extent permitted by applicable law, Sanusian and its officers, directors, employees, and affiliates will not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages, losses, costs, or injuries arising from or related to any software bugs, technical glitches, operational interruptions, system downtime, or failed transmissions; any inaccuracies, delays, or omissions in algorithmic assessments, automated scores, or generated recommendations; or any reliance on the platform or actions taken based on data that may be affected by an unexpected software error. Your sole remedy in the event of any software malfunction, defect, or dissatisfaction with the platform is to discontinue using the service.

14. Termination and suspension

Termination by user: you may cancel your subscription or delete your account at any time via your account settings.

Termination by Sanusian GmbH: Sanusian GmbH reserves the right to suspend or terminate your account if you materially breach these Terms, engage in fraudulent activity, or fail to pay applicable subscription fees.

Data export: prior to account deletion, you may request an export of your pet's logged data in accordance with statutory GDPR data portability provisions.

15. Changes to these Terms

Sanusian GmbH may modify these Terms to reflect changes in legislation, regulatory requirements, or platform features. We will notify you of material changes via email or platform notification at least 30 days before the changes take effect. If you do not object to the changes within this period, the updated Terms will be deemed accepted.

16. Dispute resolution and governing law

Governing law: these Terms and any disputes arising out of or related to them shall be governed by the laws of the Republic of Austria, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict of law rules.
