Terms and Conditions (TC)

1. GENERAL PROVISIONS AND COMPANY DETAILS

These Terms and Conditions (“Terms“) govern your access to and use of the website, web applications, mobile applications, and software-as-a-service (SaaS) platform operated by Sanusian OG (accessible via sanusian.com) (collectively, the “Service” or “Platform“).

By registering an account, accessing, or using the Service, you (“User“, “You“, or “Pet Owner“) agree to be bound by these Terms. If you are entering into these Terms on behalf of a veterinary practice, clinic, or business entity (“Partner Clinic“), you represent that you have the legal authority to bind that entity.

2. DESCRIPTION OF THE SERVICE

Sanusian provides digital pet wellness tools, health observation tracking, and algorithmic risk-scoring intelligence, including:

    1. Daily Health & Symptom Logging: Tools allowing pet parents to record daily observations, behaviors, postures, and symptoms.
    2. AI Health & Risk Intelligence: Automated, algorithm- and classifier-assisted risk assessment scoring (“Health Care Risk Score”) based on structured user inputs.
    3. Risk Passports & Pre-Clinical Summaries: Structured digital overviews of health trends and logs designed to streamline clinical intake.
    4. Clinic Routing & Partner Directory: Features connecting users to third-party independent veterinary clinics, emergency hospitals, and pet wellness providers.

3. DISCLAIMER: NO VETERINARY ADVICE & EMERGENCY LIMITATION

IMPORTANT NOTICE: SANUSIAN IS NOT A LICENSED VETERINARY CLINIC, TELEHEALTH PRACTICE, OR EMERGENCY MEDICAL DISPATCH SERVICE. THE PLATFORM DOES NOT PROVIDE VETERINARY MEDICAL DIAGNOSIS, TREATMENT, PRESCRIPTIONS, OR CLINICAL MEDICAL OPINIONS.

    1. Informational & Educational Use Only: All content, AI risk scores, breed-specific indicators, wellness plans, and summaries generated by the Service are provided purely for informational, organizational, and pre-triage guidance. They are designed to assist pet owners in deciding when to seek professional care and to facilitate structured communication with licensed veterinarians.
    2. Not a Substitute for Professional Care: The Service must never be used to replace direct, in-person veterinary examinations, diagnosis, or professional clinical judgment. Always consult a licensed veterinary professional for any health concerns regarding your animal.
    3. Medical Emergencies: If your pet is experiencing an acute emergency (e.g., severe trauma, poisoning, collapse, difficulty breathing, seizures, unresponsiveness), DO NOT rely on the Platform or wait for algorithmic results. Immediately transport your pet to the nearest emergency veterinary hospital or contact an emergency veterinarian.

4. ELIGIBILITY AND USER ACCOUNTS

  1. Age Requirement: You must be at least 18 years of age (or the age of legal majority in your country of residence) to register an account and purchase subscriptions.
  2. Account Integrity: You agree to provide accurate, current, and complete information during registration and keep your account details up to date.
  3. Account Security: You are responsible for safeguarding your login credentials and for all activities that occur under your account. You must notify Sanusian immediately of any unauthorized access or security breach at info@sanusian.com.

5. TIERS, SUBSCRIPTIONS, BILLING, AND PAYMENTS

  1. Free Tier: Sanusian offers a free tier subject to daily usage limitations (e.g., limits on the number of daily logs, scans, or AI risk assessments). Sanusian reserves the right to adjust these limitations.
  2. Paid Subscription Plans: Sanusian offers premium paid subscription tiers on a Monthly and Annual billing cycle.
  3. Pricing & Taxes: Pricing is displayed in EUR (€) on the platform. Due to Sanusian OG’s small business tax-exempt status (Kleinunternehmerregelung), Value Added Tax (VAT) is not charged or displayed separately on invoices pursuant to § 6 Abs. 1 Z 27 Austrian UStG.
  4. Payment Processing: Payments are processed securely via Stripe. Sanusian does not store full credit/debit card numbers or sensitive payment authentication data on its servers.
  5. Automatic Renewal & Cancellation:
    • Paid subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless canceled.
    • Cancellation Notice: You can cancel your subscription at any time via your account settings up to 24 hours before the next scheduled renewal date. If you cancel within the required timeframe, your access will remain active until the end of your current paid billing period, after which it will revert to the free tier.

6. EU CONSUMER RIGHT OF WITHDRAWAL (WIDERRUFSRECHT)

If you are a consumer residing within the European Union (EU) or European Economic Area (EEA), you have a statutory right of withdrawal in accordance with the Austrian Consumer Rights Act (Fern- und Auswärtsgeschäfte-Gesetz – FAGG) and Directive 2011/83/EU.

6.1. Statutory Instructions on Withdrawal

  • Withdrawal Period: You have the right to withdraw from this contract within 14 calendar days from the day the contract was concluded, without giving any reason.
  • Exercising the Right: To exercise your right of withdrawal, you must notify us of your decision by an unequivocal statement (e.g., an email or letter sent by post) to:

6.2. Early Expiry of the Right of Withdrawal for Digital Content

Pursuant to § 18 Abs. 1 Z 11 FAGG and Article 16(m) of Directive 2011/83/EU:

  • When purchasing digital content or immediate access to SaaS functionality not supplied on a tangible medium, your right of withdrawal expires prematurely if:
    1. You have expressly consented that Sanusian shall begin the performance of the contract before the end of the 14-day withdrawal period; and
    2. You have acknowledged that you thereby lose your right of withdrawal once performance has begun.

7. ACCEPTABLE USE AND USER OBLIGATIONS

When using Sanusian, you agree not to:

    1. Input knowingly false, manipulated, or fraudulent health records or symptoms;
    2. Use the Service for any unlawful purpose, or in violation of applicable animal welfare legislation;
    3. Reverse engineer, decompile, crawl, scrape, or extract source code, data, or proprietary AI algorithms from the Platform;
    4. Interfere with or disrupt the integrity, security, or performance of the Platform;
    5. Resell, sublicense, or white-label the Service to third parties without prior written consent from Sanusian OG.

8. INTELLECTUAL PROPERTY RIGHTS

Sanusian Ownership: All software, algorithms, breed classifiers, user interfaces, branding, trademarks, texts, graphics, and proprietary risk-scoring logic are the exclusive intellectual property of Sanusian OG and its licensors.

    1. User License: Sanusian grants you a non-exclusive, non-transferable, revocable license to access and use the Platform for personal (or authorized partner) pet health management.
    2. User Content & Anonymized Data: You retain ownership of the photos, notes, and log inputs you submit. You grant Sanusian OG a non-exclusive, worldwide, royalty-free license to host, store, and process this data to provide and maintain the Service. Sanusian may aggregate and anonymize health logs for clinical research, algorithm optimization, and statistical purposes in strict compliance with the General Data Protection Regulation (GDPR).

9. THIRD-PARTY CLINICS AND PARTNER SERVICES

  1. Independent Third Parties: Partner Clinics, emergency centers, and veterinarians listed on or routed through the Platform are independent third parties. Sanusian OG does not employ these professionals.
  2. No Clinical Liability: Sanusian OG does not endorse, guarantee, or assume liability for the clinical advice, diagnosis, treatment, billing, or conduct provided by any third-party veterinary clinic or partner. Any veterinary treatment contract is concluded exclusively between you and the respective clinic.

10. PRIVACY AND DATA PROTECTION (GDPR)

Sanusian OG processes personal data strictly in compliance with the General Data Protection Regulation (Regulation (EU) 2016/679 – GDPR) and the Austrian Data Protection Act (Datenschutzgesetz – DSG). 11. WARRANTY AND STATUTORY RIGHTS

  1. Statutory Warranty: If you are a consumer in the EU, you benefit from statutory warranty rights under applicable EU and Austrian consumer sales laws for digital content and digital services (Directive (EU) 2019/770 and the Austrian Consumer Warranty Act / Verbrauchergewährleistungsgesetz – VGG).
  2. Service Availability: While we aim for high uptime, the Service is provided on an “as is” and “as available” basis. Temporary downtime may occur due to scheduled maintenance, system updates, or force majeure events.

12. LIMITATION OF LIABILITY

  1. Mandatory Statutory Liability: Nothing in these Terms shall limit or exclude Sanusian OG’s liability for:
    • Intentional misconduct (Vorsatz) or gross negligence (grobe Fahrlässigkeit);
    • Personal injury, death, or damage to health resulting from negligence;
    • Claims under mandatory statutory product liability laws (Produkthaftungsgesetz);
    • Any other liability that cannot be excluded or limited under applicable Austrian and EU consumer law.
  2. Slight Negligence (Leichte Fahrlässigkeit): In cases of slight negligence, Sanusian OG shall only be liable for breaches of material contractual obligations (Kardinalpflichten), limited to foreseeable damages typical for the contract.
  3. Veterinary Decisions: Sanusian OG is not liable for any health deterioration, injury, or loss of an animal resulting from a User’s failure to seek timely, licensed veterinary medical attention.

13. TERMINATION AND SUSPENSION

  1. Termination by User: You may cancel your subscription or delete your account at any time via your account settings.
  2. Termination by Sanusian OG: Sanusian OG reserves the right to suspend or terminate your account if you materially breach these Terms, engage in fraudulent activity, or fail to pay applicable subscription fees.
  3. Data Export: Prior to account deletion, you may request an export of your pet’s logged data in accordance with statutory GDPR data portability provisions.

14. CHANGES TO THESE TERMS

Sanusian OG may modify these Terms to reflect changes in legislation, regulatory requirements, or platform features. We will notify you of material changes via email or platform notification at least 30 days before the changes take effect. If you do not object to the changes within this period, the updated Terms will be deemed accepted.

15. DISPUTE RESOLUTION AND GOVERNING LAW

Governing Law: These Terms and any disputes arising out of or related to them shall be governed by the laws of the Republic of Austria, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict of law rules. For consumers residing in the EU, mandatory statutory consumer protection provisions of your country of habitual residence remain unaffected.

    1. EU Online Dispute Resolution (ODR): The European Commission provides an online dispute resolution platform at: https://ec.europa.eu/consumers/odr. Sanusian OG is not obligated to participate in dispute settlement proceedings before a consumer arbitration board.
    2. Place of Jurisdiction:
      • For Business Users / Partner Clinics (B2B): The competent court in Vienna, Austria (Handelsgericht Wien) shall have exclusive jurisdiction.
      • For Consumers (B2C): Statutory jurisdiction rules apply pursuant to § 14 KSchG (Austrian Consumer Protection Act) and Regulation (EU) No 1215/2012.
