Terms and Conditions (TC)

I. Scope and Definitions

  1. These General Terms and Conditions (hereinafter “TC”) apply to all current and future business relationships between Sanusian and the users of the Sanusian mobile application, web application, and website (collectively referred to as the “Platform”).
  2. Sanusian provides a digital platform offering interactive pet health risk assessments, wellness insights, and routing services to veterinary professionals (hereinafter “Services”).
  3. By registering an account and using the Platform, the user expressly agrees to these TC. Any deviating conditions of the user shall not apply unless expressly agreed to in writing by Sanusian.

II. Registration and Account

  1. Use of the Services requires the creation of a user account. The user is obliged to provide true, accurate, and complete information during registration.
  2. The user must treat their login credentials confidentially and protect them from unauthorized access by third parties. Sanusian must be notified immediately if there is any suspicion of account misuse.
  3. Sanusian reserves the right to temporarily or permanently block user accounts in the event of a breach of these TC, fraud, or misuse of the Platform.
  4. No Replacement for Physical Exams: Our services are intended to supplement, never replace, a physical examination by a licensed veterinarian.
  5. Emergency Disclaimer: Sanusian is not an emergency response service. If your pet is experiencing a life-threatening emergency, trauma, or acute distress, you must contact a local physical emergency clinic immediately.

III. The Services and Crucial Medical Disclaimer

  1. Scope of Services: Sanusian acts as an objective measurement tool (“Risk Assessment Engine”) that evaluates user-inputted data (behavior, symptoms, status) to generate a “Health & Risk Score” (Green, Yellow, Red) and facilitates bookings with specialized professional services (Marketplace).
  2. NO VETERINARY DIAGNOSIS (MEDICAL DISCLAIMER): The information, risk scores, and wellness plans provided by Sanusian are for informational and proactive care purposes only. Sanusian is not a substitute for professional veterinary advice, diagnosis, or treatment.
  3. The “Health & Risk Score” is generated by an algorithm based on the data provided by the user. Sanusian does not guarantee the medical accuracy of this score. If a pet exhibits severe symptoms, is in pain, or faces a medical emergency, the user must seek immediate professional veterinary care, regardless of the score provided by the Platform.
  4. Sanusian assumes no liability for any delays in seeking veterinary care or for any health consequences resulting from the user’s reliance on the Platform’s automated assessments.

IV. Marketplace and Third-Party Providers

  1. If the Platform assessment indicates a need for professional care, Sanusian may facilitate the booking of services with third-party providers (veterinarians, groomers, nutritionists).
  2. Sanusian acts solely as an intermediary (broker) in these instances. If a user books a service through the Platform, the legal and medical contract is formed exclusively between the user and the respective third-party provider.
  3. Sanusian assumes no liability for the services, treatments, advice, or acts of these third-party providers.

V. Subscriptions, Fees, and Payment

  1. Subscription Plans: Sanusian offers free basic features and paid B2C SaaS subscriptions (Risk Score and Wellness Insights Subscription). The scope and prices of these plans are displayed on the Platform prior to checkout.
  2. All prices listed include the applicable statutory value-added tax (VAT).
  3. Contract Conclusion: By clicking the binding order button (“Continue to Pay”), the user makes a binding offer. The contract is concluded when Sanusian activates the subscription or sends an order confirmation via email.
  4. Auto-Renewal: Paid subscriptions automatically renew at the end of the selected billing cycle (monthly or annually) for the same duration, unless canceled by the user prior to the end of the current billing period.
  5. Payment: Payments are processed via secure third-party providers (Stripe). In the event of a payment default, Sanusian is entitled to suspend the user’s access to paid features until the outstanding amount is settled.

VI. Right of Withdrawal for Consumers

The following applies only to users who are consumers under the Austrian Consumer Protection Act (KSchG):

    1. Right of Withdrawal: You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period is 14 days from the day of the conclusion of the contract.
    2. Exercising the Right: To exercise your right of withdrawal, you must inform us (Sanusian, Winmühlgasse 22, Email: info@sanusian.com) of your decision to withdraw from this contract by an unequivocal statement (a letter sent by post or an e-mail).
    3. Consequences of Withdrawal: If you withdraw from this contract, we shall reimburse to you all payments received from you without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw.
    4. Exception to the Right of Withdrawal (Digital Content): The right of withdrawal expires prematurely for digital content or services if Sanusian has begun executing the service before the end of the withdrawal period, provided the user has given express prior consent and acknowledged that they thereby lose their right of withdrawal once the contract has been fully performed.

VII. User Obligations

  1. The user undertakes to use the Platform only for its intended purpose and to refrain from any actions that could harm Sanusian or other users.
  2. The user must not:
    a) Interfere with the software, algorithm, or underlying infrastructure of the Platform.
    b) Use automated systems (bots, scrapers) to extract data from the Platform.
    c) Upload false, misleading, or malicious data regarding their pet’s health.

VIII. Warranty and Liability

  1. Availability: Sanusian endeavors to ensure high availability of the Platform. However, Sanusian does not guarantee uninterrupted access and is not liable for downtimes due to maintenance, server outages (AWS, Stripe, Cloudflare, etc), or force majeure.
  2. Limitation of Liability: Sanusian is only liable for damages caused by intent or gross negligence. In the case of slight negligence, Sanusian is only liable for personal injury.
  3. Sanusian is not liable for indirect damages, lost profits, data loss, or consequential damages resulting from the use of the Platform.
  4. To the extent permitted by law, Sanusian explicitly excludes any liability for the accuracy, completeness, or timeliness of the risk assessments and wellness advice provided by the algorithm.

IX. Changes to TC and Prices

  1. Sanusian reserves the right to amend these TC or adjust subscription prices at any time to reflect market conditions, legal requirements, or service improvements.
  2. Users will be notified of changes via email at least 30 days before they take effect. If the user does not object to the changes before the effective date, the updated TC/prices are deemed accepted. If the user objects, they may cancel their subscription effective immediately before the new terms apply. Price increases will only affect future billing cycles.

X. Data Protection

The processing of personal data is carried out in strict compliance with the General Data Protection Regulation (GDPR) and the Austrian Data Protection Act (DSG). Details can be found in our Privacy Policy at: www.sanusian/privacy-policy/.

XI. Final Provisions

  1. Contract Language: The contract language is English. In case of legal disputes, the English version of these TC shall prevail, unless mandatory Austrian consumer protection law requires a German interpretation.
  2. Governing Law: These TC shall be governed by the laws of the Republic of Austria, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict of law rules. For consumers, this choice of law only applies insofar as it does not deprive them of the protection granted by mandatory provisions of the law of the country in which they have their habitual residence.
  3. Jurisdiction: For all disputes arising out of or in connection with these TC, the competent court in Vienna, Austria, shall have exclusive jurisdiction, provided the user is a business (B2B). If the user is a consumer, the statutory places of jurisdiction under § 14 KSchG shall apply.
  4. Severability Clause: Should any provision of these TC be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected.
